Mutual Non-Disclosure Agreement (NDA)
This Mutual Non-Disclosure Agreement ("Agreement") is entered into by and between Steve Mordue ("Consultant") and the Client (each a "Party" and collectively the "Parties").
1. Purpose
The Parties wish to explore a potential business relationship and in connection with this, each Party may disclose to the other certain confidential information.
2. Confidential Information
"Confidential Information" means any information disclosed by either Party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, which is designated as "Confidential," "Proprietary," or some similar designation.
3. Obligations
- To maintain the confidentiality of the Confidential Information;
- Not to disclose it to any third party without prior written consent;
- Not to use any Confidential Information for any purpose except to evaluate and engage in discussions concerning a potential business relationship.
4. Exclusions
Confidential Information does not include information that:
- Is or becomes publicly known through no breach of this Agreement;
- Is received from a third party without breach of any obligation;
- Is independently developed without use of or reference to the other Party’s Confidential Information.
5. Term
This Agreement shall remain in effect for a period of two (2) years from the date of disclosure of the Confidential Information.
6. No License
Nothing in this Agreement grants any rights in or to the Confidential Information except as expressly set forth herein.
7. Acceptance
By paying for any engagement, the Client acknowledges and agrees to the terms of this Mutual Non-Disclosure Agreement.
